Terms of Service

Last updated: November 5, 2026

These Terms of Service govern access to the website, software, applications, and related services provided by i-Trax Solutions Inc. (“i-Trax,” “we,” “us,” or “our”).

By using our website, you agree to the terms applicable to website use. Access to paid software and services is subject to the agreement accepted by the customer. If you use our services on behalf of an organization, you represent that you have authority to act for that organization.

1. Our Services and Customer Agreements

i-Trax provides information management software and related services, including tools for restoration contractors, project management, reporting, and business operations.

The features, fees, subscription term, support, implementation, hosting, backup, and other services included in your purchase are those stated in your applicable order form, proposal, licence agreement, or other written customer agreement.

If these Terms conflict with a separate written agreement between you and i-Trax, that agreement controls to the extent of the conflict.

2. Accounts and Authorized Users

You must provide accurate account information and keep it current. You are responsible for managing your authorized users, protecting account credentials, and activities performed through your account.

You must promptly notify us if you suspect unauthorized access or a security incident involving your account. Users may access only the information and functions they are authorized to use.

3. Permitted Use

Subject to your customer agreement and compliance with these Terms, you may use the services for your organization’s legitimate business purposes.

You must not:

  • Use the services unlawfully or infringe another person’s rights.

  • Upload malicious code, interfere with service operation, or attempt unauthorized access.

  • Share access with unauthorized persons or circumvent licence, user, or usage restrictions.

  • Copy, resell, sublicense, or commercially exploit the services except as expressly authorized.

  • Reverse engineer the software except where applicable law permits that activity.

  • Upload information you lack the right or authority to provide.

4. Customer Data and Privacy

As between you and i-Trax, you retain your rights in the information, documents, photographs, and other content you submit to the services (“Customer Data”).

You authorize i-Trax and its service providers to process Customer Data as reasonably necessary to provide, maintain, secure, and support the services, comply with law, and follow your authorized instructions.

You are responsible for the accuracy and lawful collection and use of Customer Data, including obtaining required permissions before submitting personal information about customers, employees, policyholders, or other individuals.

Our handling of personal information is described in our Privacy Policy and any applicable privacy or data processing agreement with you.

5. Fees and Payment

Fees, taxes, payment deadlines, renewal arrangements, and any refund or cancellation rights are governed by your customer agreement.

Additional work, including custom development, training, integrations, or support outside the agreed scope, requires a separate agreement on scope and charges.

These Terms do not independently create an automatic renewal, cancellation fee, or non-refundable payment obligation.

6. Third-Party Services

The services may connect to third-party software, platforms, or websites. Your use of those products may be subject to separate terms and fees.

Third-party availability, functionality, and changes are outside our control. An integration does not transfer responsibility for the third party’s products or services to i-Trax.

7. Intellectual Property

i-Trax and its licensors retain all rights in the software, website, documentation, trademarks, designs, and related intellectual property. Your purchase grants only the usage rights expressly provided in your customer agreement.

No ownership of i-Trax intellectual property transfers to you under these Terms.

8. Availability and Business Decisions

We use reasonable efforts to operate and maintain the services. Interruptions may occur because of maintenance, updates, network failures, security incidents, or circumstances outside our reasonable control.

Any guaranteed uptime, response time, backup schedule, retention period, or recovery commitment must be expressly stated in your customer agreement.

You remain responsible for reviewing reports, calculations, estimates, and other outputs before relying on them. The services support business operations and do not replace professional judgment, site inspections, or legal, accounting, engineering, insurance, or safety advice.

9. Suspension and Termination

We may restrict or suspend access when reasonably necessary to address a material security threat, unlawful activity, or material breach of these Terms or your customer agreement. Where reasonably practicable, we will provide notice and an opportunity to resolve the issue.

Cancellation, termination, outstanding charges, data export, retention, and deletion are governed by your customer agreement and applicable law. Contact us before service ends to arrange any required data export.

10. Warranties and Liability

Except for commitments expressly made in your customer agreement, and to the extent permitted by applicable law, the website and services are provided “as is” and “as available.” We do not warrant that they will be uninterrupted, error-free, or suitable for every particular purpose.

To the extent permitted by applicable law, i-Trax is not liable for indirect, incidental, special, or consequential losses arising from use of the website or services, including lost profits or business opportunities.

Any agreed monetary limit on liability is set out in your customer agreement. Nothing in these Terms excludes liability or limits rights that cannot lawfully be excluded or limited.

11. Changes to These Terms

We may update these Terms and will identify the latest revision date on this page. Material changes affecting existing customers will be communicated with reasonable advance notice and will take effect in accordance with their customer agreements and applicable law.

Changes do not retrospectively alter an existing signed agreement.

12. Governing Law

Unless your customer agreement provides otherwise, these Terms are governed by the laws of British Columbia and the applicable federal laws of Canada. Subject to mandatory legal rights and any agreed dispute resolution process, disputes will be brought before the courts of British Columbia.

13. General

If a provision is unenforceable, the remaining provisions continue in effect. A failure to enforce a provision does not waive the right to enforce it later.
